The conclusion of a Memorandum of Understanding between
Transgaz and PVGASCITY JSC
Yesterday,12.07.2016, SNTGN TRANSGAZ SA Romania and PVGASCITY JSC signed a Memorandum of Understanding in Vietnam.
The Memorandum was concluded on the occasion of the visit of the Romanian Prime Minister, Dacian Ciolos in the Socialist Republic of Vietnam, who opened the Romanian-Vietnamese Business Forum, organized under the auspices of the two countries' Chambers of Commerce and Industry.
Under the Memorandum signed in Hanoi, TRANSGAZ and PVGASCITY JSC espressed their intention to support mutually beneficial projects and to develop new lines of cooperation in the gas field. This Memorandum outlines the basic principles, the responsibilities and the framework for the coordination of the two partners' activities underlying the development of their future cooperation relationship. The Parties agreed to cooperate for a period of 1 (one) year, after having identified a set of measures on priority issues and after having defined their strategic vision and based on a market survey.
The Memorandum was signed by, Mr. Ion Sterian - the Chairman of Transgaz' Board and by Mr. Ciprian Alic the Director of the EU Funds and International Relations Division, on behalf of the Romanian party and by Mr. Bui Xuan Nang, Deputy Director of PVGASCITY JSC on behalf of the Vietamese party.
PVGASCITY JSC is authorized to build, operate and maintain gas distribution networks to residential and industrial areas in Vietnam.
SNTGN Transgaz SA is the technical operator of the national gas transmission system and it is responsible for its operation under quality, safety, efficiency and environmental conditions.

On 16.06.2016 Mr Klaus Iohannis, the President of Romania, together with the delegation of the Romanian Embassy of Romania in Sofia, visited Marten Site, Bulgaria, were the HDD works for the Danube undercrossing were initiated.
Mr President met the representatives of the companies involved in the project: Transgaz, Bulgartransgaz and the constructor Habau.
Mr Ion Sterian, the Chairman of the Board of Administration of Transgaz, and Mr Petru Văduva, the Director – General of our Company, presented the interconnection project and discussed with Mr Iohannis about the project opportunities.
The Interconnection Bulgaria - Romania is the only project ensuring gas transmission on the southern gas route Azerbaijan-Turkey-Greece to Austria, through the Romanian section. The gas pipeline from Bulgaria to Austria via Romania and Hungary (BRHA - PCI 7.15, Project of Common Interest on the first list of PCIs) is significant at the regional level since after commissioning the pipeline will provide integration of gas sources from the Southern Corridor with the Central and Western European markets.
The implementation of this project ensures supply of gas from the Southern Corridor (the TANAP and TAP projects), the LNG terminals and other potential sources to the Balkans, Southern European and Central European countries, thus completing the Vertical Corridor between Greece-Bulgaria-Romania, to Hungary and Central Europe.
The project benefits from EU funding through the EEPR, according to Funding Decision C(2010)5962-06.09.2010, the maximum value of the grant amounting to EUR 4.5 million for the Romanian section and to EUR 4.1 million for the Bulgarian section.
The date of project completion according to the EC Funding Decision is 31.12.2016.
The project includes the building of two gas metering stations (at Giurgiu in Romania and at Ruse in Bulgaria), enabling gas flow in both directions.

On 6 June 2016 the inspectors of the European Commission – Directorate General for Competition and of the Romanian Competition Council came to the headquarters of SNTGN Transgaz SA in Mediaș, the Representative Office in Bucharest and the EU Funds and International Relations Division for the performance of an inspection.
The inspection is based on Art. 20, paragraph (4) of Council Regulation (EC) No. 1/2003 on the implementation of the rules on competition laid down in Articles 81 and 82 of the Treaty which became Art. 101 and 102 of the Treaty on the Functioning of the European Union.
SNTGN Transgaz SA provides support to the representatives of the European Commission – Directorate General for Competition and of the Competition Council by making available to them of all documents and information requested.

TRANSGAZ AND BULGARTRANSGAZ MADE ANOTHER IMPORTANT STEPT FORWARD IN THE COMPLETION OF THE INTERCONNECTION BETWEEN THE NEIGHBOURING ROMANIAN AND BULGARIAN GAS TRANSMISSION SYSTEMS
On 30 May 2016, Transgaz and Bulgartransgaz signed the contract with the Association INSPET SA – leader – SC HABAU PPS Pipeline Systems SRL – appointed as Contractor of the works for the construction of the DN 500 Back-up Danube Crossing (including the Danube Undercrossing) Pipeline to interconnect the gas transmission systems of Romania and Bulgaria, as a result of the public procurement procedure conducted in compliance with the Romanian applicable laws.
The ceremony for the conclusion of the trilateral contract took place at Transgaz’ Representative office in Bucharest and was attended by the representatives of the two gas transmission systems operators of Romania and Bulgaria as well as by the representatives of the Association INSPET-HABAU.
The Back-up Danube Undercrossing Pipeline to interconnect the gas transmission systems of Bulgaria and Romania will be completed by the end of 2016 and will have a maximum bidirectional capacity of 1.5 bcma.
The completion of the interconnection project Bulgaria-Romania is utterly important in terms of the security of gas supply to the region, allowing for the integration of the Southern Corridor gas sources into the Central and Western European markets.

The National Gas Transmission Company ”TRANSGAZ” SA notifies all stakeholders that the economic-financial results for 2015 as contemplated in the Annual Financial Statements and in the Report of the Board of Administration were approved by the General Ordinary Shareholders’ Assembly - convened on 29.04.2016.
The results achieved in 2015 prove that the indicators established under the mandate contracts were exceeded by over 10-15%.
Therefore, Transgaz’ outstanding financial performance for 2015 is reflected in the following indicators:
The main drivers for the company’s significant performance for 2015 are as follows:
The company’s Administration Plan for 2015 contemplated an estimated investment volume of Lei 352,200 thousand, out of which investments amounting to Lei 239,554 thousand were implemented in 2015, i.e. an achievement level of 68%. The savings which have been made for the last years by the proper planning of investments, except for the urgent works strictly required to secure the safe operation of the National Gas Transmission System, lay the solid foundations for the equity funding of the company’s strategic importance projects.
In this context, the company succeeded to obtain, based on extensive negotiations (of about 2 years), one of the most considerable EU grants and the highest amount to be individually allocated to a Romanian company, i.e. Euro 179 million for the implementation of the BG-RO-HU-AT Corridor (BRUA Project).
TRANSGAZ’ General Ordinary Shareholders’ Assembly within the meeting on 29.04.2016 approved the company’s annual financial results for 2015 and acknowledged the Report of the Nomination and Remuneration Advisory Committee on the remuneration and other benefits granted to the company’s administrators and directors in 2015. The compensation of the managerial team for the relevant performance during 2015 amounting to Lei 2.82 mil represents the sole remuneration of the members of Transgaz’ Board of Administration.

Transgaz and Bulgartransgaz signed on 6 April 2016 the contract with the Austrian company SC HABAU PPS Pipeline Systems SRL – the winner of the public procurement procedure, developed according to the Bulgarian legislation, with the subject:” Construction of a main gas pipeline DN 500 of the Danube Crossing (including the Danube Undercrossing) to interconnect the gas transmission systems of Romania and Bulgaria”
The contract signing ceremony was hosted by Bulgartransgaz EAD at the company’s headquarters in Sofia, in the presence of representatives of the two gas transmission operators in Romania and Bulgaria. The honorable Bulgarian Minister of Energy, Mrs. Temenuzhka Petkova, attended the event.
The main Danube undercrossing pipeline to interconnect the gas transmission systems in Bulgaria and Romania will be completed in 119 days since the contract with the Austrian company SC HABAU PPS Pipeline Systems SRL is signed and it will have a maximum bidirectional capacity of 1.5 bcm/y.
Transgaz and Bulgartransgaz took an important step in the process related to the completion of the interconnection of the neighboring gas transmission systems in Bulgaria and Romania.
The completion of the interconnection project Bulgaria-Romania is of outmost importance from the perspective of the security of gas supply in the region, generating the premises of the integration of the gas sources from the Southern Corridor in the markets from Central and Western Europe.
