According to Resolution No. 1 of the Ordinary General Meeting of the Shareholders of 27.04.2015, published in Romanian Official Journal, Part IV, No. 2365/12.05.2015, the National Gas Transmission Company Transgaz SA, headquartered in Mediaş, 1 C.I. Motaş Square, Sibiu county, notifies the shareholders registered at the registration date of 24 June 2015 of the payment of the dividends for financial year 2014 through Depozitarul Central SA and BRD Groupe Societe Generale – the appointed payment agent, starting with 15 July 2015 (the payment date). “The ex- date” set by the Ordinary General Meeting of the Shareholders is 23.06.2015.
The gross dividend for the financial year 2014 is 21.80 lei/share and the tax on dividend will be withheld at source and paid up to the state budget according to the shares under the applicable laws.
The payment of net dividends due to Transgaz’ shareholders is subject to the general prescription provisions, being prescriptible in 3 (three) years’ time from the payment date. The dividend pay-out period for 2014 is 15 July 2015 – 15 July 2018, i.e. the last payment date.
The dividend pay-out fee shall be borne by Transgaz.
The means of payment are as follows:
- By Depozitarul Central (DC) – for the shareholders whose interests are represented by the Participants (Trustee Banks or Brokers) in the Clearing and Settlement System and in the registry of the Depozitarul Central;
- By BRD-GROUPE SOCIETE GENERALE, the payment agent appointed by Transgaz for the shareholders not having an account opened with a Participant.
